Whistleblowing

 

Vender Group companies act in full compliance with the law and all regulations in force in the territories where they operate. Relations with stakeholders are based on correctness, co-operation, loyalty and mutual respect.

Therefore, Vender Group encourages potential whistleblowers to report any alleged breach of national or EU laws that harm the public interest or the integrity of the Group they have become aware of in the employment context, as provided by Legislative Decree no.24 of 10 March 2023, to which reference should be made.

For receiving reports, Vender Group uses the following internal channels:

  • IT platform.
  • Ordinary mail: sent to the registered office of the Vender Group Company the breach refers to. In case of ordinary mail, in order to guarantee confidentiality, the report must be placed in two closed envelopes: the first one with the identification data of the reporting person along with a photocopy of the id document; the second one with the report. Both will have to be placed in a third closed envelope marked “reserved for whistleblowing” and sent to the Whistleblowing Manager (Administrative Officer of the Group Company the breach refers to).

It is also possible to organize a direct and confidential meeting with the relevant Whistleblowing Managers.

In particular, the IT platform guarantees the confidentiality of the personal data and identity of the reporting person, the person involved and the contents of the reports and referring records, without prejudice to legal obligations.

It is forbidden for all Group components to adopt any action of retaliation or discrimination against the whistleblower by reason of the report sent.

The Group will adopt disciplinary sanctions and/or other measures against whoever may, by wilful misconduct or gross negligence, file a report with the aim of causing harm to the reputation of the reported persons.

ANAC (Italian National Anti-corruption Authority) has activated an external reporting channel the reporting person may refer to only where the conditions described in art. 6 of Legislative Decree no. 24 of 10 March 2023 are met. The access to the external reporting channel is available on ANAC institutional website.
